Acceptance
This agreement applies to all products offered by the Seller, including their advertisement, sale, and service. By purchasing our products, the Buyer automatically accepts our terms and conditions and agrees to follow the basic operating procedures outlined on the Seller’s website (ceda-uk.com) and in the user manual.
Online Sales
After the Buyer places an order, they will receive an acknowledgement email as confirmation of receipt, but this email does not indicate acceptance of the Buyer’s order. The Seller reserves the right to accept or reject the Buyer’s offer before processing the order. A contract between the Buyer and Seller will be formed only after the Seller has approved the Buyer’s payment, verified prices, processed, and dispatched the order. An email will be sent to the Buyer to confirm these arrangements.
Pricing and Availability
Although the Buyer strives to ensure that all information on their website is accurate, errors may occur. In the event that the Buyer discovers an error in the price of any goods the Seller has ordered, the Buyer will inform the Seller as soon as possible and provide the Seller with the option to confirm the order at the correct price or cancel it. If the Buyer is unable to contact the Seller, the order will be treated as cancelled. If the Seller has already paid for the goods and cancels the order, the Seller will receive a full refund. Prices are inclusive of VAT, where applicable, and delivery costs will be added separately.
The Buyer’s website may contain typographical errors, inaccuracies, or omissions that may not be up-to-date. Therefore, the Buyer reserves the right to correct any errors, inaccuracies, or omissions and update the information without prior notice. The Buyer also reserves the right to refuse to fulfil any orders based on inaccurate or outdated information on the website, such as pricing, shipping, payment terms, or return policies.
Prices and Payment Terms
The information provided in quotations, price lists, delivery descriptions, and publicity materials are for guidance purposes only and are subject to confirmation in writing at the time of purchase. The price stated in the Seller’s written quotation shall be binding. If there is any increase in the cost of raw materials, labor, overheads, taxes, or duties, or any change in exchange rates, the Seller may increase the price upon written notice. If the Seller gives notice of a price increase, the Buyer has the option to cancel the order and receive a refund of any payments made. The Seller must receive written notice of cancellation within seven days of receiving the notice of the price increase.
Payment for all orders must be made on a pro-forma basis. If the order is for products without services, the Buyer must pay the Price at the time of ordering. Time is of the essence for payment. If the Buyer fails to pay the Price when notified that the products are ready for delivery or installation, the Seller may take legal action for the Price even if ownership of the products has not been transferred to the Buyer. If the Buyer fails to make the required payment, the Seller may terminate the contract and suspend any further performance until payment is made in full.
All prices are valid for 30 days, and the Seller may increase the Price upon written notice if there is an increase in the cost of raw materials, labor, overheads, taxes, or duties, or any change in exchange rates.
For custom installations, the price will be adjusted to account for any alterations made to the quoted plans upon receipt of final drawings/templates. The installation charge covers a team of two installers, and additional charges may apply if more labor is needed. The installation charge is also subject to the ease of access to the installation site at the property.
Please be advised that all hot tubs/saunas are custom-made, and orders cannot be canceled or refunded once they have been placed, as each item is handmade to order. Deposits are non-refundable, and if a custom hot tub/sauna has been ordered and the Buyer cancels, the Seller may pursue the Buyer for the full value of the product in certain cases.
Delivery
The Seller offers supply and delivery to mainland Britain, including Scotland, but delivery costs may vary depending on the Buyer’s location. If the Seller cannot deliver to the Buyer’s area, they reserve the right to cancel the order. Delivery of hot tubs/saunas is typically done via large van and flatbed trailer, and the Buyer must ensure they have appropriate access for this type of delivery. While drivers will try to accommodate reasonable delivery requests, it should be assumed that delivery is only to the Kerb Side if the Seller is not installing the product. Moving goods beyond this point is at the Buyer’s risk and responsibility. If the driver is requested to make a delivery onto private property, they may do so at their discretion, but any damage caused will be the Buyer’s responsibility to repair. If the Buyer has difficult access, they should inform the Seller, who will try to assist, but additional costs may apply. Any costs incurred due to redelivery because of access issues will be reimbursed by the Buyer. The Seller will provide an estimated delivery period, but they will not be liable for any delays. The goods are at the Seller’s risk until delivery, but after that point, they are the Buyer’s responsibility, and the Seller will not be liable for any loss or damage. The Seller retains the right to recover their goods and enter the Buyer’s premises to do so, if necessary.
Acceptance
The goods must be inspected and any missing items or damage reported within 2 working days time.
Warranty
The wooden products/parts/components sold by the Seller are warranted for one year due to the natural nature of the material. To avoid excessive shrinkage, hot tubs should be filled with water within seven days of delivery. While hot tubs may leak, the wood will typically swell and seal within 3-5 days, but customers should allow up to 7 days. Coal or any wood alternatives should not be used as fuel for wood-burner hot tubs and saunas as it can damage the heater due to higher burning temperatures. The Seller cannot be held responsible for any lack of draw/fire in the burning chamber caused by the location. Wood treatment should not be applied to the inside of hot tubs as it blocks water absorption, which can lead to permanent leaks.
The Seller guarantees that goods are free from defects upon delivery, and any damage must be reported within 2 days for the Seller to replace faulty parts (parts warranty only). The warranty does not extend to accidental damage, wear and tear, or damage caused by incorrect handling, storage, installation, use, modification, or unauthorised repair. The Buyer acknowledges that wood is a natural material and may have variations in colour, size, and weight due to atmospheric conditions. Therefore, splitting, cracks, and knots are not covered by any warranty.
The Seller cannot be held responsible for lack of air ventilation or weather conditions that cause mould growth. The goods supplied by the Seller are a natural product, and slight variations may occur from batch to batch. The cedar hot tub/sauna products are guaranteed against manufacturer defects for one year from the purchase date, limited to the wooden hot tub/sauna staves, steel straps, seats, floor, and floor joists. The Seller will replace defective boards free of charge upon presentation of the original invoice and digital photo of the damage.
The Seller does not cover, under warranty, leaks resulting from improper assembly instructions, improper gluing of PVC parts during customer-performed assembly of plumbing parts, minor leaks, damage of electrical equipment due to rainwater spillage or flooding, improper customer-performed installation, such as insufficiently tightened power terminals, damage to the interior due to overuse or improper use of chemicals, damage resulting from water freezing, drying out the tub, careless or improper use, or damage caused by animals or insects. The Buyer assumes all liabilities, and the Seller is not liable for any direct, incidental, punitive, or consequential damages resulting from the use of the product.
The hot tub/sauna must be installed/connected and tested by a Part P qualified/competent electrician before use. Only fully qualified electricians should attempt to install the hot tub/sauna electrics. The hot tub/sauna must be hard-wired on its own fused spur back to the household consumer unit, protected by a sufficiently rated MCB, and outdoor cabling protected from damage by either laying protective ducting below ground or using Steel Wired Armoured cable (SWA). The Buyer’s electrician will determine the required cable size based on loading and distance from the mains supply.
Services
The Seller shall not be held liable for providing the following, if included in the delivery:
- Services provided outside normal working hours, on weekends or public holidays.
- Changes requested by the Buyer.
- Maintenance services.
Furthermore, the Seller retains the right to appoint subcontractors to perform services on their behalf.
Planned drawings and mock-ups
Please be advised that any planned drawings and mock-ups provided by the Seller are intended solely for illustrative purposes. These visuals serve to offer a conceptual representation of the proposed installation and are not intended to be an exact match to the finished product. While we strive to ensure accuracy in our designs, variations may occur during the actual installation process. Factors such as on-site conditions, material availability, and unforeseen circumstances may impact the final outcome. Therefore, the actual finished installation may differ from the presented drawings and mock-ups. It is essential to consider these illustrations as a general guide rather than a precise representation. We endeavour to deliver the highest quality results, and any discrepancies between the illustrations and the final installation shall not affect the functionality or performance of the project. By proceeding with our services, the Buyer acknowledges and accepts that the planned drawings and mock-ups are for illustrative purposes only and may not precisely reflect the completed installation.
Planning Permission
With all building work, the owner of the property (or land) in question is ultimately responsible for complying with the relevant planning rules and building regulations (regardless of the need to apply for planning permission and/or building regulations approval or not).
Therefore, failure to comply with the relevant rules will result in the owner being liable for any remedial action (which could go as far as demolition and/or restoration). The general advice is to always discuss your proposals with the relevant local planning authority
Liability
While we strive to provide safe and hygienic products, we cannot accept liability for any health issues arising from poor water management, which can cause infections. However, please note that this exclusion of liability does not limit any rights the Buyer may have as a Consumer under applicable local law or other statutory rights that cannot be excluded, nor does it limit our liability for any death or personal injury resulting from our negligence.
Force Majeure
The Seller is not responsible for any failure to deliver caused by circumstances beyond their control including (but not limited to) strikes, terrorism, war, weather conditions, exchange fluctuations, governmental or regulatory changes and natural disasters.
Termination
Kindly note that the Seller does not accept cancellations for orders placed, as each hot tub is custom-made by hand and cannot be re-consigned once a deposit is received. Additionally, the Seller reserves the right to terminate this agreement at any time, provided that written notice is given and all outstanding payments are returned. If the Buyer wishes to cancel this agreement, the Seller reserves the right to retain all costs incurred up to the date of cancellation in fulfilling the terms of this contract.
Obligations
The Buyer assumes responsibility for the following:
Selecting the product and ensuring its suitability for the intended purpose.
Adhering to the instructions provided by the Seller.
Obtaining all necessary permissions to comply with applicable regulations and legislation.
Collaborating with the Seller to facilitate the fulfilment of their obligations.
Protecting the Seller from any claims arising from third parties regarding the supplied goods.
Jurisdiction
The contract between us shall be governed by and interpreted in accordance with English law and the English courts shall have jurisdiction to resolve any disputes between us.
Entire agreement
These terms and conditions, along with the Seller’s current pricing, delivery information, contact information, and privacy policy, constitute our complete agreement regarding the sale of goods from the Seller to the Buyer. Any statements made by a sales representative on behalf of the Seller should not be considered a modification of these terms and conditions or an authorised representation about the nature or quality of any goods offered for sale by the Seller. With the exception of fraud or fraudulent misrepresentation, the Seller shall not be liable for any misleading or untrue representations made by a sales representative.
Please note that any third-party work, such as assembly or modifications, is not part of this contract unless invoiced by the Seller and will be governed by a separate agreement between the Buyer and the service provider. The Seller shall not be held liable for any unauthorised modifications to the hot tub/sauna or related parts or for any incidents resulting from such modifications.
